Aéroports de Paris announces the results of its tender offer  following the settlement of its dual tranche bond issuance 

 

Aéroports de Paris SA (the “Company”) announces today the results of the tender offer launched on March 13, 2025 (the “Tender Offer”) for its 2.125% bonds issued on April 2, 2020 (maturing on October 2, 2026) of which all of the nominal amount initially issued (being 1,000,000,000 euros) is currently outstanding (ISIN: FR0013505625) and admitted to trading on the regulated market of Euronext Paris (the “Existing Notes”). 

This announcement follows the settlement today of a new 1,000,000,000 euros bond issuance in two tranches of 500,000,000 euros each and maturing in 8 and 11 years respectively (the “New Notes”), also announced on March 13, 2025. The New Notes are admitted to trading on the regulated market of Euronext Paris.

Under the terms and subject to the conditions contained in the Tender Offer Memorandum dated March 13, 2025, the Company had invited qualified holders to tender their Existing Notes before 5:00 pm (Paris time) on March 19, 2025 (the “Expiration Deadline”) for their repurchase by the Company.

As a reminder, the Company had reserved the right to decrease or increase the initial Maximum Acceptance Amount of 250,000,000 euros, and to determine the Final Acceptance Amount in its sole and absolute discretion.

At the Expiration Deadline, the Company received and, in accordance with the terms of the Tender Offer Memorandum, has accepted for repurchase the Existing Notes validly tendered for an aggregate nominal amount of 250,000,000 euros.

The settlement of the Tender Offer is expected to occur on March 21, 2025. Following the settlement of the Tender Offer and the cancellation of the Existing Notes accepted for repurchase, a total nominal amount of 750,000,000 euros of the Existing Notes will remain outstanding.
