Zalando Announces Public Tender Offer for ABOUT YOU

Zalando SE has launched a public tender offer to acquire ABOUT YOU Holding SE. The offer, approved by the German Federal Financial Supervisory Authority (BaFin), allows ABOUT YOU shareholders to tender their shares at a price of EUR 6.50 per share. This represents a 12% premium over the median analyst target price of EUR 5.80 and a 107% premium over ABOUT YOU's three-month average share price as of December 10, 2024.

The offer is supported by ABOUT YOU's management and supervisory boards. Zalando has secured 80% of ABOUT YOU's share capital through agreements with major shareholders, including the Otto Group and HEARTLAND. The acceptance period runs until February 17, 2025, with the transaction expected to close in the summer, pending regulatory approvals.
