Simplified purchase offer by Box BidCo SAS on Waga Energy
On November 21, 2025, Waga Energy announced the availability of its information memorandum regarding the simplified public tender offer (OPA) launched by Box BidCo SAS. The offer price is set at €21.55 per share, with a possible additional €2.15 under certain conditions. Shares tendered through market sales will not be eligible for this additional payment. The offer period is set at fifteen trading days, subject to approval by the French Financial Markets Authority (AMF).
Box BidCo SAS intends to implement a mandatory delisting if fewer than 10% of the shares are not tendered. BNP Paribas and Rothschild & Co Martin Maurel are the presenting banks. Legal and financial details are available on the AMF and Waga Energy websites.
