VRC Companies, LLC Acquires Redishred Capital Corp.

VRC Companies, LLC has successfully acquired Redishred Capital Corp., as announced on February 7, 2025. This acquisition was completed through an all-cash transaction, with VRC purchasing all outstanding common shares of Redishred at CA$5.00 per share. The transaction, conducted under the Canada Business Corporations Act, is set to have the shares of Redishred delisted from the TSX Venture Exchange by approximately February 10, 2025.

Redishred shareholders will receive cash payments automatically if their shares are held through brokers. Registered shareholders need to submit share certificates or registration statements along with a letter of transmittal to receive payments. Legal and financial advisors for both parties played key roles in facilitating this acquisition.
