Voltabox AG Acquires GMS Electronic Vertriebs GmbH
Voltabox AG, set to be renamed Voltatron AG, has announced the acquisition of GMS Electronic Vertriebs GmbH. This transaction involves a cash payment and the issuance of new shares through a capital increase. The acquisition aligns with the company's growth strategy, aiming to expand its value chain beyond development and production.
The purchase agreement with Gebhart Holding GmbH includes a capital increase of €1,324,224. This will result in the issuance of 1,324,224 new shares at €1.00 each, adjusted to reflect full dividend rights from 2025.
The acquisition and initial consolidation of GMS as of August 1, 2025, leads to an adjusted forecast for 2025. The predicted consolidated revenue from continuing operations is now expected to range between €23 and €26 million.
The sale of the high-voltage battery business contributes a one-off positive earnings effect of €2.6 million. EBITDA from continuing operations is now projected between €1 and €1.5 million.
