VIB Vermögen AG Engages in Control Agreement Talks with DIC Real Estate

On October 30, 2025, VIB Vermögen AG, a real estate firm based in Neuburg a. d. Donau, initiated discussions with DIC Real Estate Investments GmbH & Co. KGaA. This step marks the beginning of negotiations to establish a control and profit transfer agreement. DIC REI KGaA, a subsidiary of Branicks Group AG, will act as the controlling entity in this arrangement.

The agreement seeks to provide VIB's external shareholders with annual compensation payments. Additionally, these shareholders, who currently own around 31.25% of VIB, will receive an offer to exchange their shares for newly issued Branicks shares. To facilitate this, Branicks plans to create conditional capital.

Expected to be finalized by February 2026, this initiative will require approvals from VIB's extraordinary general meeting and Branicks' resolution.
