Vectron Systems AG and Shift4 Group Reach Severance Payment Agreement

Münster, 24 March 2025. Vectron Systems AG has finalized an agreement with Shift4 Group regarding severance and compensation payments under their domination and profit and loss transfer agreement. This agreement follows the completion of a valuation by a jointly commissioned expert. Vectron has proposed a compensation of EUR 10.93 per share for outside shareholders, as approved by Vectron's Supervisory Board.

Additionally, an annual fixed compensation payment of EUR 0.47 gross, or EUR 0.40 net, will be offered per share. The effectiveness of this agreement is subject to approval at Vectron's Annual General Meeting scheduled for April 25, 2025, alongside its registration in Vectron's commercial register. Approval from the main shareholder's meeting has already been secured.
