TERACT Acquires Sycomore's 4.75% Share Block and Amends Shareholders' Agreement

Paris, 28 November 2024 - TERACT has acquired a 4.75% share block from Sycomore Asset Management, totaling 3,489,212 shares. The Board approved the buyback at €0.60 per share, marking a 9.1% discount on the closing price, and 15.2% on the average price over the past month. Completion is expected soon, with shares allocated for cancellation within 12 months.

Following this purchase, InVivo Group and Founders will hold 88.52% of TERACT’s capital. A recently signed term sheet will amend the 2022 shareholders' agreement, granting Founders an option to sell shares to InVivo if delisting occurs.

The purchase option for InVivo becomes valid from 2027, depending on whether Founders exercise theirs by October 2028. Market value will be assessed by independent experts if options are exercised or a compulsory buyout occurs.
