TERACT Acquires 4.75% Share Block and Amends Shareholders' Agreement

On 27 November 2024, TERACT's Board of Directors approved the off-market buyback of a 4.75% block of shares from Sycomore Asset Management. This acquisition involves 3,489,212 shares, priced at €0.60 each, totaling €2,093,527.20. The buyback represents a 9.1% discount to TERACT’s closing share price on the same day. The acquired shares are set for cancellation within 12 months.

In addition, TERACT's shareholders' agreement from 29 July 2022 is being amended. This involves a term sheet signed by the Founders and InVivo Group that outlines potential purchase options for TERACT shares if the company is delisted, exercisable between 2027 and 2028. The amendments offer strategic options for InVivo Group post delisting.
