Talanx AG and Meiji Yasuda Partnership to End in 2025

On December 20, 2024, Talanx Aktiengesellschaft announced the termination of its strategic partnership with Meiji Yasuda Life Insurance Company, effective December 31, 2025. The decision allows Talanx to pursue a full takeover of minority shares in Towarzystwo Ubezpieczeń i Reasekuracji WARTA S.A. and Towarzystwo Ubezpieczeń EUROPA S.A.

The agreement provides for the economic conditions under which either partner can exercise call and put options on the shares held by Meiji Yasuda, which are 24.3% in WARTA and 50.0% minus one share in TU Europa. The purchase price is estimated at a mid-triple-digit million euro amount, payable in the first quarter of the 2026 financial year.

This acquisition is expected to increase Talanx's share in the net income from Warta and TU Europa by a mid double-digit million euro amount.
