Soitec: Annual General Meeting and Resolutions Adopted

On July 22, 2025, Soitec held its Annual General Meeting in Bernin, chaired by Frédéric Lissalde. Shareholders approved the statutory and consolidated financial statements for the 2024-2025 fiscal year, as well as the appropriation of earnings. The renewal of the directorships of Bpifrance Participations, CEA Investissement, and the Fonds Stratégique de Participations was approved for three years.

Furthermore, the compensation components of corporate officers for the 2024-2025 financial year, as well as their compensation policies for 2025-2026, were approved. Several financial authorizations and delegations to the Board of Directors were also validated. However, the amendment to the thresholds for shareholders to declare shares was not adopted, with a vote of 60.15%.

The Board of Directors now comprises 13 members, 45% of whom are women and 64% of whom are independent. Françoise Chombar replaces Kai Seikku on the Sustainability Committee. Voting details and the meeting's presentation are available on Soitec's website.
