SoftwareOne Finalizes Swap Agreement, Acquires Crayon Shares

SoftwareOne Holding AG has announced the termination of its total return swap (TRS) agreement, established in December 2022, leading to the acquisition of 4,578,588 Crayon shares. This decision follows an April amendment allowing SoftwareOne the choice of physical or cash settlement upon TRS maturation or termination.

Opting for physical settlement, SoftwareOne now holds 6.99% of Crayon's issued shares. Together with shares from a voluntary tender offer, SoftwareOne will control approximately 91.77% of Crayon by early July 2025. The company plans a compulsory acquisition of remaining shares and a delisting of Crayon from Euronext Oslo Børs.
