R&S Group Acquires Kyte Powertech to Expand in Europe

R&S Group Holding AG has entered an agreement to acquire Kyte Powertech Limited, an Ireland-based leader in distribution transformer solutions. The transaction, valued at EUR 250 million, aims to broaden R&S Group’s footprint in Ireland, the UK, and Western Europe. The acquisition will be financed through a bridge facility and management roll-over shares, ensuring strong commitment to future performance.

This strategic acquisition will result in combined pro forma net sales of CHF 384 million and an EBITDA of CHF 81 million. It enhances the product portfolio and provides access to new markets and customers. Kyte Powertech's management team will remain on board, holding a 6% stake in R&S Group, ensuring business continuity.

Founded in 1977, Kyte Powertech employs around 490 staff and specializes in distribution transformers. The company has shown a financial performance increase of 52% against the prior year, reaching EUR 165 million in net sales and EUR 33 million in EBIT for FY2024.
