Parot Group: Appointment of an independent expert

The Parot Group announces the appointment of the Ledouble SAS firm as independent expert to evaluate the financial conditions of the simplified public purchase offer (OPAS) proposed by NDK, parent company of the Tressol-Chabrier Group.

The OPAS project is mandatory following the crossing of the threshold of 50% of the capital and voting rights by NDK on April 30, 2024. The official submission of this project is planned in the coming weeks.

In accordance with article 261-1 III of the general regulations of the Financial Markets Authority (AMF), the board of directors has set up an ad hoc committee to propose an independent expert. The Ledouble SAS firm, represented by Olivier Cretté, was chosen on June 13, 2024.

The expert must prepare a report on the financial conditions of the OPAS project and a possible squeeze-out, including a fairness certificate. The report will be made public and submitted to the AMF for review.
