Opening of the public offer to withdraw MND shares

Montagne Et Neige Developpement SA (MND), listed on Euronext Growth, announces the opening of the public offer to withdraw its shares. This operation, initiated by the majority shareholder L&M Infra, will be effective from June 17 to 28, 2024, at a price of €0.90 per share.

Declared compliant by the Financial Markets Authority (AMF) on June 13, 2024, this offer offers a premium of 16.6% compared to the last closing price. L&M Infra currently holds 97.81% of the capital of MND and targets all of the shares not held, i.e. approximately 1,543,908 shares.

The Board of Directors of MND, on the advice of an independent expert, recommends this offer, deemed financially fair for the minority shareholders. A squeeze-out procedure will follow, with compensation at the same price per share.
