Acquisition Announcement: Luna 1.5 and Luna 2.5 S.à r.l.

Luna 1.5 S.à r.l. and Luna 2.5 S.à r.l. have notified their noteholders of a significant acquisition event. Their controlling shareholders, including Platinum Equity Advisors, have signed a sale and purchase agreement with Oviedo Bidco S.L., linked to funds managed by Blackstone Inc. and EQT AB. This agreement involves the acquisition of 100% shares in the parent companies PE Luna Holding S.à r.l. and PE Luna Holding Offshore S.à r.l.

Upon completion, the senior secured notes will remain outstanding. However, the PIK notes are anticipated to be fully redeemed. The process requires regulatory clearances and the operational separation of the Group's Argentinian business, which will remain with the sellers.
