ISS Endorses SoftwareOne Board's Voting Proposals Ahead of AGM

SoftwareOne Holding AG, a leading provider of software and cloud solutions globally, announced that the advisory firm ISS supports its board of directors' voting recommendations for the approaching Annual General Meeting (AGM). ISS, known for its independent analysis and guidance on shareholder meetings, advocates for the appointment of all nine board nominees suggested by SoftwareOne, including three non-independent nominees from the 29% block shareholders.

The firm also advised against the complete overhaul of the board as pushed by the same shareholder bloc, labeling all its nominees as non-independent. With ISS's backing, SoftwareOne's board affirms its stance on maintaining a balanced board to advance the company's interest, aiming to stabilize the company's governance and concentrate on achieving growth and profitability targets as outlined in Vision 2026.
