Gledhow Investments Withdraws Resolutions Amid CLN Amendment
Gledhow Investments plc has announced the withdrawal of resolutions ahead of its General Meeting, scheduled for today. This decision will not impact the validity of the Notice of the General Meeting or any proxy votes already submitted. The nominal value of the Company’s Ordinary Shares remains unchanged at £0.01 per share, with existing share authorities maintained from the last AGM in April 2025.
The withdrawal is linked to an agreement to amend the conversion price of convertible loan notes (CLNs) with P3 Capital Limited and P4 Capital Limited. The conversion price of CLNs has been increased from £0.00425 to £0.01 per share. This adjustment prompted the withdrawal of specific resolutions, allowing the conversion of CLNs to proceed under modified terms for both vendors, P3 and P4 Capital Limited.
