Gimv Schedules Second Extraordinary General Meeting for July 31, 2024

Gimv has announced the convocation for a second extraordinary general meeting (EGM) scheduled on July 31, 2024. This follows an EGM held on June 26, 2024, which did not meet the required attendance quorum of 50% of the capital.

The upcoming EGM will be held at Gimv's registered office at 10:30 a.m. Unlike the previous meeting, this EGM will be able to deliberate and decide regardless of the number of shares present or represented.

The agenda focuses on amending the articles of association, especially in relation to governance changes due to a shift in reference shareholding. These amendments include adjustments to the board of directors' composition, requiring one-third of directors to be nominated by WorxInvest, and a majority to be independent. Advisory committees will also see changes, with at least two WorxInvest-nominated members and a majority of independent directors in each committee.
