Compagnie des Alpes Acquires 86.5% of Urban Group

Paris, June 13, 2024 - Compagnie des Alpes has finalized the acquisition of 83% of Soccer 5 France SAS, the parent company of Urban Group. This acquisition was anticipated following the binding offer announced on March 13.

The group has also secured a promise to acquire an additional 3.5%, rounding the total stake to 86.5%. This is expected to be completed between October and December 2024, subject to due diligence procedures.

This acquisition aligns with Compagnie des Alpes' strategic goals and extends their leisure offerings. The transaction values the enterprise at 157 million euros, with an additional potential earn-out of 10 million euros under specific conditions.

The Urban Group operates 35 centers in France and Portugal, with a market-leading 25% share in France. They expect sales of 48 million euros for the fiscal year ending June 30, 2024, and an estimated EBITDA of 21.5 million euros post-IFRS 16.
