Commerzbank Schedules Annual General Meeting for May 2025

Commerzbank AG has announced its Annual General Meeting (AGM) will occur on May 15, 2025, at the RheinMain CongressCenter in Wiesbaden. This marks a return to in-person gatherings after years of virtual meetings. Key agenda items include a proposed dividend of €0.65 per share, and the election of new Supervisory Board members. Significant financial deliberations will involve the profit allocation for 2024, which includes €1 billion in share buybacks and the proposed €733 million dividend distribution. Management remuneration adjustments will also be discussed, reflecting revised regulatory requirements.

Notably, Supervisory Board members Jutta A. Dönges and Gertrude Tumpel-Gugerell are stepping down, with Sabine Lautenschläger-Peiter and Michael Gorriz proposed as successors. Shareholders will vote on these positions individually. Commerzbank also seeks authorization for share buybacks up to 10% of share capital. Shareholders must register by May 8, 2025, to participate and exercise voting rights.
