Clean Air Metals Announces Closing of Flow-through Private Placement
THUNDER BAY, ON / ACCESSWIRE / July 3, 2024 / Clean Air Metals Inc. (TSXV:AIR)(OTCQB:CLRMF)(FRA:CKU) announced the closing of a non-brokered private placement, raising approximately $440,015. The company issued 8,000,272 units at $0.055 per unit. Each unit consists of one common share and one half of a warrant to purchase another share at $0.08 within 24 months.
The funds will finance "Canadian exploration expenses" for the company’s projects in Ontario. These expenses will be renounced in favor of the subscribers by December 31, 2024.
Red Cloud Securities Inc. acted as a finder, receiving a payment of $24,000.90 and 509,110 compensation warrants, exercisable at $0.055 per share.
The offer includes participation by company insiders, described as "related party transactions" under MI 61-101, with appropriate exemptions applied. Securities issued will be subject to a four-month statutory hold.
