Cinven Announces Delisting Acquisition Offer for SYNLAB AG
SYNLAB AG (FSE: SYAB) announced the signing of a delisting agreement with Ephios Bidco GmbH, a subsidiary of Ephios Luxembourg S.à r.l., both controlled by Cinven Limited's investment funds. Concurrently, Ephios BidCo GmbH has decided to make a public delisting acquisition offer to acquire all outstanding shares of SYNLAB not directly held by Ephios BidCo GmbH, which already controls approximately 86% of the voting rights.
The offer will be unconditional. SYNLAB will apply for the revocation of its shares' admission to trading on the regulated market of the Frankfurt Stock Exchange before the end of the acceptance period. Once revoked, SYNLAB shares will no longer be traded on any domestic regulated market or comparable market abroad.
