Chargeurs announces the reopening of its Tender Offer

Success of the takeover bid leading to a reopening over 10 trading sessions

Par Rémy EISENSTEIN - The Chargeurs group has announced the reopening of its Public Purchase Offer (OPA) following its initial success. This decision follows the acquisition by Colombus Holding and Colombus Holding 2 of 65.56% of the capital of Chargeurs, corresponding to 66.55% of the voting rights, including the company's treasury shares. The offer will therefore be available again for a period of 10 trading sessions, starting from March 19, 2024 until April 3, 2024, with a price set at 12 euros per share.

The detailed schedule provides for the closing of the Reopened Offer on April 3, 2024, followed by the publication of the results on April 4 by the Financial Markets Authority (AMF) and Euronext. Settlement and delivery of this Reopened Offer is then scheduled for April 9, 2024. Chargeurs also reminded that the documentation relating to this offer is accessible on its website as well as that of the AMF, and is available from the banks presenting the offer. the offer: BNP Paribas, Crédit Agricole and Banque Palatine.

Chargeurs specifies, however, that this offer is strictly reserved for the French market, excluding certain jurisdictions such as the United States, Canada, Australia and Japan, in accordance with specific legal restrictions. This approach is only intended for investors authorized to participate in the takeover bid according to the local regulations applied.
