Capital Increase Following Allocation of Free Shares to EuropaCorp Employees

Paris, 18 September 2024 – EuropaCorp announces a capital increase of 2,295,623 new shares. This follows the allocation of free shares to employees. The capital will increase from 123,124,383 shares to 125,420,006 shares on 24 September 2024.

Following a decision on 15 July 2021 by EuropaCorp's Board of Directors, based on an authorization from the Extraordinary General Meeting of Shareholders on 28 September 2020, free allocations were approved. The Board noted on 17 September 2024, after the General Meeting, that conditions were met. Consequently, 2,295,623 new shares with a par value of thirty-four euro cents each will be issued.

Per the free share allocation plan, the new shares will be issued on 24 September 2024. An application will be made for these shares to trade on Euronext Growth Paris from the same date. These shares will be immediately assimilated to existing shares.

According to Article L. 225-197-4 of the French Commercial Code, a special report will be presented to the next Ordinary General Meeting of Shareholders. With this, the share capital will increase to 42,642,802.04 euros, divided into 125,420,006 shares with a par value of thirty-four euro cents each.
