Upbeat BidCo raises Believe's offer price

Believe's Board of Directors has approved an increase in the price of Upbeat BidCo's public buyout offer to €17.20 per share. This new price represents a premium to average share prices, ranging from +12.6% to +17.6%, over periods of 30 to 180 days. Independent expert Finexsi has confirmed the financial fairness of this offer for shareholders.

The ad hoc committee also unanimously recommended this offer, believing it to be in the best interests of Believe shareholders and employees. The Board of Directors followed this recommendation, emphasizing that the offer provides immediate liquidity for minority shareholders without affecting Believe's business model or compensation policy.
