Atari is preparing to acquire Thunderful Group and take it private.

Atari, an iconic brand in the field of interactive entertainment, announces its intention to finalize the acquisition of Thunderful Group, acquiring a 90.2% stake in the company. This transaction will be completed through a managed issuance of SEK 35 million new shares, subject to approval by an Extraordinary General Meeting of Thunderful scheduled for January 2026.

Following this capital increase, Atari plans to request the delisting of Thunderful's shares from the Nasdaq First North Growth Market in Stockholm. Subsequently, Atari intends to acquire the remaining shares from minority shareholders at a price of SEK 0.30 per share, representing a 61% premium over the previous share price.

This purchase, which aims to fully integrate Thunderful into its network, should be financed by Atari's own resources or via a potential loan with IRATA LLC.
