Threshold crossings at ARGAN
On November 13, 2025, Kerlan SAS crossed the 30% threshold of ARGAN's share capital and voting rights. Kerlan SAS now holds 7,846,073 shares, representing 30.48% of the total. This change resulted from a contribution in kind of 850,243 shares by several members of the Le Lan family.
The Le Lan Concert group did not cross any further thresholds, holding 9,401,149 shares, representing 36.53% of the capital. The distribution within the group notably includes Jean-Claude Le Lan and his close associates.
The French Securities and Exchange Commission (AMF) has granted Kerlan SAS an exemption, allowing it to avoid launching a public tender offer. This decision is available in publication D&I 225C1796 on the AMF website since October 23, 2025.
