Ams-OSRAM AG Announces Key Proposals for AGM 2024

ams OSRAM, listed under SIX: AMS, has disclosed its proposals for the upcoming Annual General Meeting (AGM) set for June 14, 2024. Highlighting the agenda, Dr. Margarete Haase, the current Chairwoman of the Supervisory Board, is slated for re-election alongside board member Brigitte Ederer. Their new term, if approved, will extend until the AGM of 2028.

The company recently executed a significant recapitalization that included a rights issue and the issuance of new senior notes. Consequently, proposal for a reverse share split is planned, aiming to consolidate ten no-par value shares into one. This step follows a vast increase in share capital and total share count after the refinancing efforts.

Moreover, adjustments are proposed in the corporate financial structure, with the revocation of the existing Conditional Capital 2023 and financial instruments authorization. In their place, the establishment of a new Conditional Capital 2024, representing 10% of the current share capital, is suggested.
